1. Acceptance of Terms

By accessing or using Venu ("the Service"), operated by Venu, a California company, you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Service.

2. Description of Service

Venu is an advertisement and listing platform. We provide venue hosts and event service providers with listing pages to advertise their spaces and services to potential guests. Venu is not a marketplace. We do not participate in, facilitate, or process transactions between hosts and guests. All bookings, contracts, and payments occur directly between the parties involved.

3. Platform Role & Limitations

Venu's role is limited to:

• Providing listing pages for hosts and service providers to advertise their offerings.
• Facilitating introductions between hosts and potential guests through our concierge service.
• Providing optional communication tools.

Venu does not:

• Process payments between hosts and guests.
• Provide insurance or liability coverage of any kind.
• Guarantee bookings, availability, or the quality of any listed space or service.
• Act as a party to any agreement between hosts and guests.
• Bear responsibility for the conduct of any user on the platform.

4. Host & Guest Transactions

All contracts, agreements, and financial transactions are exclusively between the host (or service provider) and the guest. Venu is not a party to these arrangements and has no liability whatsoever for:

• Disputes between hosts and guests.
• Property damage, personal injury, or loss of any kind occurring at a listed venue or during a listed service.
• Payment disputes, chargebacks, or non-payment.
• Cancellations or no-shows by either party.
• Accuracy of listing information provided by hosts or providers.

Hosts are solely responsible for obtaining adequate insurance coverage for their spaces and events. Hosts are responsible for setting and enforcing their own terms, rules, and cancellation policies with guests.

5. Subscriptions & Billing

Venu offers paid subscription plans for hosts and service providers. By subscribing, you agree to the following:

• Free trial: New subscribers receive a 6-month free trial. A valid payment method is required at signup.
• Auto-renewal: Subscriptions automatically renew monthly at the end of each billing period unless canceled.
• Cancellation: You may cancel at any time. Your listing remains active through the end of the current billing period. After that, your listing will be set to draft and will no longer be publicly visible.
• Payment processing: Billing is handled through Stripe. Venu does not store your payment card details.
• Refunds: No refunds are issued for partial billing periods.
• Price changes: We may adjust pricing with 30 days written notice. Continued use after a price change constitutes acceptance.

6. User Accounts & Claims

When you claim a listing on Venu, you represent that you are the owner or authorized operator of the venue or service. You agree to provide accurate information and to keep your contact details up to date. We reserve the right to remove or suspend listings that violate these terms.

7. Intellectual Property

All content, features, and functionality of the Service, including text, graphics, logos, and software, are the property of Venu and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

8. User Content

You retain ownership of any content you submit (venue descriptions, images, etc.). By submitting content, you grant Venu a non-exclusive, worldwide license to use, display, and distribute that content in connection with the Service.

9. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of these terms.
• Submit false, misleading, or fraudulent listing information.
• Interfere with or disrupt the Service or its infrastructure.
• Attempt to gain unauthorized access to any part of the Service.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free. Venu makes no representations or warranties regarding the accuracy, quality, or legality of any listing or the suitability of any venue or service provider listed on the platform.

11. Limitation of Liability

To the fullest extent permitted by law, Venu and its officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to:

• Your use of or inability to use the Service.
• Any transaction, agreement, or interaction between hosts and guests.
• Property damage, theft, or loss at any listed venue.
• Personal injury occurring at any listed venue or during any listed service.
• Payment disputes, chargebacks, or financial losses between users.
• Cancellations, no-shows, or scheduling disputes.
• Any content posted by users on the platform.

In no event shall Venu's total liability exceed the amount you paid to Venu in subscription fees during the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Venu, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these terms, or any transaction between you and another user of the platform.

13. Governing Law

These terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in California.

14. Changes to Terms

We may update these terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the Service constitutes acceptance of the revised terms.
